Please read these Terms of Service ("Terms") carefully before utilizing the website, digital marketing services, or web engineering deliverables provided by ADJ Digital Marketing LLC ("Company", "we", "us", or "our").

1. Agreement to Terms

By accessing our website or engaging ADJ Digital Marketing LLC for SEO, Google Ads management, web development, or consulting, you agree to be bound by these Terms and any individual Statements of Work (SOW) executed between the parties.

2. Scope of Services & Statements of Work

All client deliverables, monthly retainers, timelines, and payment terms are formally outlined in dedicated written proposals or service contracts. In the event of any conflict between these general Terms and an active SOW, the terms of the SOW shall prevail.

3. 100% Client Account & Asset Ownership

Unlike traditional agencies, ADJ Digital Marketing LLC enforces a strict client-first ownership protocol:

  • Clients retain 100% direct ownership of their ad accounts (Google Ads, Meta Ads, Microsoft Ads).
  • Clients retain full ownership of their domains, hosting accounts, and final custom-coded frontend websites once full payment has been disbursed.

4. Payment Terms & Retainers

Monthly marketing management retainers are billed in advance on a recurring monthly cycle. Project-based web development services typically require an initial deposit with the remaining balance due upon verified milestone completion.

5. Performance Disclaimer

While ADJ Digital Marketing LLC applies rigorous industry standards and white-hat methodologies, digital marketing success depends on factors outside the direct control of any agency (e.g., third-party search engine algorithm changes, auction bid competition, market demand, and client conversion responsiveness). We do not provide guarantees of specific revenue numbers or #1 Google search rankings.

6. Confidentiality

Both parties agree to treat all shared strategic documents, technical architectures, financial numbers, and client credentials as strictly confidential during and after the engagement.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.
